Terms of Service

These Terms of Service (the "Terms") are a legally binding agreement between you and Omnimodel Technology Limited, a private company incorporated in Hong Kong ("A2Agent," "we," "us," or "our"), which operates the website at https://a2agent.me, the dashboard, the documentation at https://docs.a2agent.me, and the API gateway at https://api.a2agent.me (together, the "Service").
By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Privacy Policy, which is part of these Terms. If you do not agree, do not use the Service.
Please read Section 18 carefully. It requires most disputes to be resolved by binding individual arbitration in Hong Kong and waives class actions, except where the law of your country does not allow this.
1. The Service
A2Agent is an API gateway that gives you access, through OpenAI-compatible and Anthropic-compatible endpoints, to large language models developed and hosted by third parties ("Models" and "Model Providers"). We route your requests to Model Providers and meter and bill your usage. We do not develop or train the Models.
Model Providers include model developers' official platforms and cloud model platforms, some of which are located in mainland China. The Models currently offered, their prices, and their Model Providers are listed at https://a2agent.me/models. We may add, change, or remove Models at any time.
2. Eligibility
You must be at least 18 years old (or the age of majority where you live, if higher) to use the Service. By using the Service, you confirm that:
(a) you meet this age requirement;
(b) your account has not previously been suspended or terminated by us;
(c) you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive sanctions, and you are not named on any sanctions or restricted-party list applicable to us or to the Model Providers; and
(d) your use of the Service complies with all laws and regulations that apply to you, including export control and sanctions laws.
If you use the Service on behalf of a company or other organization, you confirm that you are authorized to accept these Terms on its behalf, and "you" refers to that organization.
3. Accounts and API Keys
3.1 Your account. You must provide accurate registration information and keep it up to date. You are responsible for keeping your login details confidential.
3.2 API keys. You are responsible for all API keys and other credentials issued to your account ("API Keys") and for all usage and charges incurred through them, whether or not you authorized that usage, except to the extent caused by our breach of these Terms. Do not publish API Keys, embed them in client-side code, or share them outside your organization. Notify us promptly at [email protected] if you suspect an API Key has been compromised, and revoke it from the dashboard.
3.3 Our protective measures. We may rate-limit, suspend, or revoke API Keys or account access if we reasonably believe it is necessary to protect you, the Service, us, a Model Provider, or any third party.
4. Credits, Payments, and Refunds
4.1 Prepaid credits. Use of the Service requires prepaid balance linked to your account ("Credits"). Each API request deducts Credits according to the per-token rates and any other charges shown on our pricing and model pages at the time of the request. You will see the amount you will be charged before you complete any purchase.
4.2 Bonus credits. We may grant additional Credits free of charge, for example as a top-up bonus, a promotion, or through our Affiliate Program ("Bonus Credits"). Bonus Credits are subject to the conditions stated when they are offered, have no cash value, cannot be refunded, withdrawn, or transferred, and are forfeited if the purchase they are attached to is refunded or charged back. We may revoke Bonus Credits obtained through abuse, including by creating multiple accounts.
4.3 Expiry. Credits, including Bonus Credits, do not expire while your account remains active, unless the terms of a specific promotion state otherwise.
4.4 Nature of Credits. Credits are a prepaid right to use the Service. They are not money, e-money, a deposit, or a stored-value instrument, and they carry no interest. Credits may be used only on the Service and cannot be transferred between accounts, sold, or exchanged for cash except as described in Section 4.6 or as required by law.
4.5 Payment processing. Payments are processed by our third-party payment processors, including Stripe, and are charged in U.S. dollars unless stated otherwise at checkout. Your payment is also subject to the processor's terms. We do not receive or store your full card number. Where applicable law requires us to collect taxes on your purchase (such as VAT or GST), we will calculate, show, and charge those taxes at checkout. Otherwise, you are responsible for any bank, currency conversion, or similar fees charged by your payment provider, and for any taxes that apply to your purchase, other than taxes on our income.
4.6 Refunds. You may request a refund of purchased Credits that remain unused by emailing [email protected] within seven (7) days of the purchase. Approved refunds are returned to the original payment method; payment processing fees may be deducted, and any related Bonus Credits are removed. Credits already consumed by API usage are not refundable. After this period, purchased Credits are non-refundable except as described in Section 11 or as required by applicable law. By completing a purchase you request immediate performance and acknowledge that, once performance begins, you lose any statutory right of withdrawal. This does not affect any rights that cannot be waived under applicable law.
4.7 Chargebacks. If you dispute a charge with your bank or card issuer instead of contacting us first, we may suspend your account while the dispute is open. If a chargeback is made for Credits you have already used, we may terminate your account and seek recovery of the amount owed.
4.8 Price changes. Model prices may change, including when Model Providers change their prices. Price changes apply only to requests made after the new price is published on our website. We will give reasonable advance notice of changes to our fee structure (such as new categories of fees) by email or in the dashboard. If you do not accept a change, stop using the affected Models or the Service.
5. Model Provider Terms
5.1 Your obligations. Each Model is subject to terms, usage policies, and data practices set by its Model Provider ("Model Terms"). By using a Model through the Service, you agree to comply with its Model Terms and, if you make the Service available to your own users or customers, you must require them to comply as well. You are responsible for reviewing the Model Terms and deciding whether a Model is suitable for your use case, especially for regulated, high-risk, sensitive, or customer-facing uses.
5.2 Provider-side filtering. Model Providers may apply their own content moderation or safety filters, including filters required by the laws of the country where they operate. As a result, some requests may be refused, truncated, or answered differently than you expect. We do not control these filters and are not responsible for their effect.
5.3 Availability. Models are provided on an "as available" basis. Model Providers may change, rate-limit, degrade, or discontinue a Model with little or no notice, and we cannot guarantee that any Model will stay available or perform consistently.
5.4 Restrictions and suspension. Some Model Providers restrict access for certain users, organizations, countries, or regions. You must not use the Service, alone or together with any other tool, to access a Model you are not permitted to use. We may suspend or restrict your access to a Model or to the Service if we reasonably believe you have violated Model Terms, or if a Model Provider requires or requests it.
5.5 Information requests. You agree to promptly provide information, confirmations, or cooperation we reasonably request to verify your compliance with Model Terms or applicable law. If you do not, we may restrict your access.
6. Your Content
6.1 Inputs and Outputs. "Inputs" are the prompts, text, images, files, and other data you send through the Service. "Outputs" are the responses returned to you. Inputs and Outputs together are "Your Content."
6.2 Ownership. As between you and us, you keep all rights you have in your Inputs, and we assign to you any rights we may have in Outputs, subject to the applicable Model Terms and law. We claim no ownership of Your Content.
6.3 Limited license to us. You grant us a worldwide, non-exclusive, royalty-free license to transmit, process, cache, and temporarily store Your Content only as needed to provide the Service to you, including sending Inputs to the Model Provider that serves your request, and to comply with law. This license ends when the processing is complete, except for any retention described in our Privacy Policy.
6.4 No training and no content logging by default. We do not use Your Content to train or fine-tune any model. We do not store the bodies of your requests or responses for ordinary API traffic, except (a) transiently while a request is being processed, (b) when you ask us to help debug a specific issue, or (c) when needed to investigate suspected abuse, secure the Service, or comply with law. Model Providers handle Your Content under their own Model Terms, which may differ.
6.5 Your responsibilities. You are solely responsible for Your Content. You confirm that you have all rights and consents needed to submit your Inputs (including any personal data of other people in them) and that your Inputs, and our processing of them under these Terms, will not violate any law or third-party right.
6.6 Outputs may be wrong. Outputs are generated by AI and may be inaccurate, incomplete, offensive, or similar to content generated for others. You must evaluate Outputs before relying on them, and you must not present Outputs as professional (for example, medical, legal, or financial) advice without appropriate human review.
6.7 Sensitive data. Do not send passwords, secrets, payment card data, government ID numbers, or special categories of personal data through the Service unless you have assessed the risk, including the international transfers described in our Privacy Policy, and have a lawful basis to do so.
7. Acceptable Use
You agree not to, and not to allow anyone else to:
(a) use the Service for any illegal purpose or in violation of any Model Terms;
(b) generate or distribute child sexual abuse material or any content that sexualizes minors;
(c) develop or distribute malware, conduct unauthorized intrusion, or attack any network or system;
(d) send spam, commit fraud or phishing, impersonate others, or engage in harassment, threats, or defamation;
(e) infringe or misappropriate intellectual property, privacy, or other rights of any person;
(f) create multiple accounts, use false identities, or use payment methods you are not authorized to use, including to obtain Bonus Credits or evade limits or suspensions;
(g) share, sell, rent, or pool API Keys or accounts, or resell raw access to the Service as a standalone API gateway or proxy without our prior written agreement (building your own applications or products on top of the Service is allowed);
(h) circumvent rate limits, billing, metering, or security measures, or reverse engineer the Service except where the law expressly allows it;
(i) scrape or systematically copy the website or dashboard by automated means;
(j) interfere with or disrupt the Service, other users, or our infrastructure; or
(k) help or attempt any of the above.
8. Security Testing and Red Teaming
Jailbreaking, prompt injection, and other adversarial attacks on Models violate many Model Terms and may cause a Model Provider to block access for you or for A2Agent. Do not conduct adversarial testing of Models, or penetration testing of our systems, without our prior written approval. 9. Affiliate Program and Promotions
Our Affiliate Program and any promotions are subject to the rules published at https://a2agent.me/partners or when the promotion is offered, which form part of these Terms. We may change or end any program or promotion, and may withhold or reverse rewards obtained through self-referrals, fake accounts, or other abuse.
10. Third-Party Services
The Service works with third-party tools and integrations (for example, coding assistants and clients listed on our integrations pages). Your use of those tools is governed by their own terms and privacy policies, and we are not responsible for them.
11. Suspension and Termination
11.1 By you. You may stop using the Service at any time and may request account closure by emailing [email protected] from your registered email address.
11.2 By us. We may suspend or terminate your account or access, with or without notice, if you breach these Terms or Model Terms, if your use creates legal, security, or financial risk, if we are required to by law or by a Model Provider, or if we discontinue the Service.
11.3 Remaining Credits. If you close your account, or if we terminate your account for any reason other than your breach of these Terms, you may request a refund of your remaining purchased Credits (not Bonus Credits) within 30 days of closure, less payment processing fees. If we terminate your account because you breached these Terms, unused Credits are forfeited to the extent permitted by law.
11.4 Effect. Upon termination, your right to use the Service ends, your API Keys are revoked, and you remain liable for amounts owed. Sections 4.4, 4.7, 6, and 13 through 20 survive termination.
12. Changes to the Service
We may modify, suspend, or discontinue any part of the Service, including Models, endpoints, and features, at any time. Where practical, we will give advance notice of material changes that remove core functionality.
13. Our Intellectual Property; Feedback
The Service, including our software, website, dashboard, documentation, and the A2Agent name and logo, is owned by us or our licensors and protected by law. Except for the limited right to use the Service under these Terms, no rights are granted to you. If you send us suggestions or feedback, we may use them freely without obligation to you.
14. Disclaimers
THE SERVICE, THE MODELS, AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUT WILL BE ACCURATE, LAWFUL, OR SUITABLE FOR YOUR PURPOSE. WE ARE NOT RESPONSIBLE FOR THE ACTS, OMISSIONS, AVAILABILITY, OR DATA PRACTICES OF MODEL PROVIDERS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(a) WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY; AND
(b) OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS (US$100).
Nothing in these Terms limits liability that cannot be limited under applicable law, such as liability for fraud or for death or personal injury caused by negligence.
16. Indemnity
You will defend, indemnify, and hold harmless Omnimodel Technology Limited and its directors, officers, employees, and agents from any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising from (a) your use of the Service, (b) Your Content, (c) your breach of these Terms or any Model Terms, or (d) your violation of any law or third-party right. If you are a consumer, this Section applies only to the extent permitted by the law of your country of residence.
17. Governing Law
These Terms and any dispute arising from or relating to them or the Service are governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict-of-laws rules. If you are a consumer, you also keep the protection of any mandatory provisions of the law of your country of residence.
18. Dispute Resolution
18.1 Informal resolution first. Before starting any formal proceeding, you agree to contact us at [email protected] with a description of the dispute and the relief you seek. Both parties will try in good faith to resolve it within 30 days.
18.2 Arbitration. If the dispute is not resolved, it will be finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the notice of arbitration is submitted. The seat of arbitration is Hong Kong, the tribunal will consist of one arbitrator, and the proceedings will be conducted in English. Hearings may be held remotely.
18.3 Exceptions. Either party may (a) bring an individual claim in a small claims tribunal (including the Hong Kong Small Claims Tribunal) or a similar court with jurisdiction, or (b) seek urgent injunctive relief or relief for intellectual property infringement in any competent court.
18.4 No class actions. To the extent permitted by law, you and we may bring claims against each other only individually, and not as a plaintiff or class member in any class, collective, or representative proceeding.
18.5 Consumers. If you are a consumer and the law of your country of residence does not allow you to agree in advance to arbitration or to a class action waiver, Sections 18.2 and 18.4 do not apply to you, and you may bring proceedings in the courts that your law allows.
19. Changes to These Terms
We may update these Terms from time to time. For changes that materially affect your rights or obligations, we will notify you by email or in the dashboard at least thirty (30) days before they take effect, unless a change is required sooner by law or by a Model Provider. Other changes take effect when posted. By continuing to use the Service after changes take effect, you accept them. If you do not agree, stop using the Service and you may close your account under Section 11.
20. General
These Terms, together with the Privacy Policy and any program rules incorporated by reference, are the entire agreement between you and us about the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control, including failures of Model Providers, cloud or network providers, or payment processors. You agree to receive notices and communications from us electronically, and electronic notices satisfy any requirement that they be in writing. If these Terms are translated, the English version controls.
